〜Notification concerning the purchase of shares of Artisense Corporation, a computer vision company with its origins in the Technical University of Munich in Germany, for the purposes of acquiring Artisense as a subsidiary, and the issuance of new shares as a third-party allocation〜
At today’s Kudan Inc. Board of Directors’ Meeting, a resolution was passed stipulating that Kudan Inc. (hereafter “Kudan”) is to make an initial purchase of shares of Artisense Corporation (headquarters in California, USA; CEO Andrej Kulikov; henceforth in this document as “Artisense”), a holding company of the Artisense Group, to be followed in several stages by the purchase of the remaining shares of the company so that Artisense will be acquired as a subsidiary of Kudan. (This acquisition will be referred to henceforth in this document as “the Purchase.”)
It was also decided at the same Board of Directors’ Meeting that a stock issuance registration would be filed on today’s date for new Common Shares of Kudan to be issued to the shareholders of Artisense in the future as a third-party allocation, as partial payment for the Purchase. (This stock issuance will be referred to henceforth in this document as the “the Stock Issuance.”)
